This publication aims to shape the policy debate on how to deepen the EU single market by proposing a concrete, operational blueprint for an optional EU-wide enterprise regime. It shows how a 28th regime (a voluntary enterprise legal framework, sitting alongside the 27 member states’ individual regimes) regime can work through multiple channels to help firms expand efficiently within the EU single market. An effective 28th regime will reduce legal fragmentation, lower the fixed costs of cross-border scaling, improve access to risk capital, and support more efficient restructuring and second chances for firms. The paper combines legal and institutional design with macroeconomic analysis to identify significant potential payoffs from adopting such a regime.
